1. Acceptance of Terms

By accessing and using TechCozo's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Services Description

TechCozo provides technology consulting, software development, cloud infrastructure, and IT support services. Our services include but are not limited to:

  • Custom software development and application design
  • Cloud infrastructure setup and management
  • IT support and technical consulting
  • Digital transformation consulting
  • System integration and maintenance

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for service delivery
  • Cooperate with our team and provide timely feedback
  • Make payments according to agreed terms and schedules
  • Respect intellectual property rights and confidentiality agreements
  • Use our services in compliance with applicable laws and regulations

4. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

  • Invoices are due within 30 days of issue unless otherwise agreed
  • Late payments may incur additional charges
  • Services may be suspended for overdue accounts
  • All prices are exclusive of VAT unless stated otherwise

5. Intellectual Property

Intellectual property rights will be addressed in individual service agreements. Generally:

  • Custom developments may transfer ownership to the client upon full payment
  • TechCozo retains rights to general methodologies and know-how
  • Third-party software and tools remain property of their respective owners
  • Confidential information must be protected by all parties

6. Limitation of Liability

TechCozo's liability is limited as follows:

  • Total liability shall not exceed the value of services provided
  • We are not liable for indirect, consequential, or punitive damages
  • Force majeure events are excluded from liability
  • Clients are responsible for data backup and recovery

7. Service Level Agreements

Service levels and support terms will be defined in individual agreements, typically including:

  • Response times for different priority levels
  • Availability targets and maintenance windows
  • Escalation procedures for critical issues
  • Performance metrics and reporting

8. Termination

Either party may terminate services under the following conditions:

  • With appropriate notice as specified in service agreements
  • Immediately for material breach of contract
  • For non-payment of fees after due notice
  • Upon mutual agreement of both parties

9. Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.
